This Non-Exclusive Listing Agreement (the “Agreement”) is entered into as of June 12th, 2025 (the “Effective Date”), by and between Camille Pomies & Lucas Grenda, henceforth referred to as the “Owner”, and Mata Property, a real estate agency operating in Bali, Indonesia, henceforth referred to as the “Mata Property”.
WHEREAS, the Owner possesses the legal right to sell the property described as Villa La Joie (the “Property”), and; WHEREAS, the Owner desires to engage Mata Property for the purpose of selling the Property on a non-exclusive basis; NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
1. Grant of Non-Exclusive Rights
The Owner hereby grants Mata Property the non-exclusive right to list, advertise, and sell the Property starting from the Effective Date of this Agreement.
2. Commission
The Owner agrees to pay Mata Property a commission of 5% of the total sale price of the Property and 10% for yearly rent, payable upon sale of the Property during the term of this Agreement.
3. Penalties for Cancellation
If the Owner accepts an offer to sell the Property and subsequently cancels the sale without just cause after acceptance of the Letter of intent or Purchase offer, the Owner agrees to still pay Mata Property a penalty fee equivalent to 5% of the total agreed sale price as damages for breach of agreement.
4. Owner Warranties
a. The Owner declares they are the lawful owner of the Property with the exclusive right to sell.
b. The Owner will provide Mata Property with all necessary documents and information regarding the Property.
c. The Owner agrees to cover all costs associated with the preparation and completion of sale documents, unless otherwise agreed with the Buyer.
5. Non-Exclusive Selling Rights After Term
If the Property is sold to a buyer introduced by Mata Property, even after canceling this Agreement, the Owner will pay the Agent a commission of 5% of the sale price.
6. Payment of Commission
The commission is due upon the successful sale of the Property and is non-refundable. The Agent is entitled to receive the commission from the escrow or directly from the Seller after a minimum of 10% payment of the total selling price has been made by the Buyer.
The First Party has no right whatsoever to ask for a refund or a reduction on any commissions paid or to be paid. In the event that said property is paid for in installments. 50% of total commissions will be paid once 5% of the payments for said property have been received. The balance of commissions will be paid once payments for said property have reached 10% of full payment.
7. Marketing and Advertising
The Owner authorizes Mata Property to:
a. Enter and show the Property to potential buyers.
b. Place “For Sale/For Rent” signage on the Property upon mutual agreement.
c. Advertise the Property using agreed-upon marketing strategies.
d. Offer additional premium marketing services at the Owner’s expense upon mutual agreement.
8. Confidentiality
The Owner agrees not to disclose any potential buyer contacts without Mata Property’s consent and to keep all negotiations confidential.
9. Dispute Resolution
Any disputes arising from this Agreement shall be resolved amicably between the parties through negotiation.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior discussions, agreements, or understandings of any kind.
